Agreement to These Terms
These Terms of Service (the “Terms”) are a binding agreement between you and Meddy, Inc. (“Meddy,” “we,” “us,” or “our”) governing your access to and use of our websites, applications, APIs, and related services, including features we add over time (the “Services”).
By creating an account, clicking to accept, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
These Terms include a limitation of liability and require most disputes to be resolved through binding individual arbitration and a class-action waiver. Please read them carefully.
Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement of a parent, guardian, or institution. If you accept these Terms on behalf of a school, company, or other organization, you represent that you have authority to bind it, and “you” refers to that organization.
The Service
Meddy provides tools for pre-med planning, which currently include authentication, subscriptions, AI chat, AI advising, AI recommendations, course planning, a school explorer, activity tracking, application management, document uploads, essays, resumes, recommendation-letter workflows, analytics, dashboards, notifications, file storage, and institutional deployments.
The Services evolve. We may add, change, or remove features (including new AI capabilities, agents, voice, mobile apps, APIs, extensions, and institutional or research offerings), and these Terms apply to all of them unless we provide different terms for a specific feature.
Accounts & Registration
You must provide accurate information and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at legal@trymeddy.com if you suspect unauthorized use. Accounts are personal to you and may not be shared or transferred without our consent. We use a third-party authentication provider to manage sign-in.
Subscriptions, Billing & Renewals
Some features require a paid subscription. Pricing and plan details are shown at purchase and processed by our third-party payment processor. By subscribing, you authorize us and our processor to charge your payment method for the applicable fees and taxes.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until you cancel. You authorize these recurring charges.
- Price changes. We may change prices; changes apply to the next billing period after reasonable notice.
- Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
- Trials and offers. Free trials and introductory offers may convert to a paid plan unless you cancel before the trial or offer ends. Eligibility terms are shown at sign-up.
Cancellations & Refunds
You can cancel at any time from your account settings or the billing portal. Cancellation stops future renewals and takes effect at the end of your current billing period; you keep access until then.
Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods, unused features, or downgrades. Nothing here limits any non-waivable statutory cancellation or refund rights you may have.
Educational Purpose: No Professional Advice
Meddy is a planning and educational tool. It does not provide medical, legal, financial, admissions, or other professional advice, and it is not a substitute for a physician, licensed advisor, attorney, or your school’s pre-health advising office.
Content and outputs (including recommendations, competitiveness estimates, school lists, essay and resume feedback, and readiness signals) are for informational purposes only. Admissions decisions depend on many factors outside our control, and we do not guarantee any outcome, including admission, interviews, scholarships, scores, or career results. You are solely responsible for your decisions, your applications, and the accuracy and integrity of everything you submit to schools or third parties.
AI Features & Output
The Services use artificial intelligence, including third-party large language models, to generate responses, drafts, recommendations, and analysis (“Output”) from the information you provide (“Input”).
AI Output is probabilistic and may be inaccurate, incomplete, outdated, biased, or misleading. Output is provided “as is,” is not professional advice, and must be independently reviewed and verified before you rely on it. Do not submit AI Output to schools, employers, or others without checking it yourself.
- Ownership. As between you and us, you own your Input and, to the extent permitted by law, we assign to you our rights (if any) in the Output generated for you. You are responsible for your use of Output.
- No exclusivity. Because of how AI works, the Services may generate the same or similar Output for other users, and we may generate similar content for others. You do not receive any exclusive rights in Output, and Output may not be eligible for copyright protection.
- Your responsibility. You must not use Output in a way that is misleading, that violates a school’s academic-integrity rules or an application’s certification requirements, or that infringes anyone’s rights.
- Human control of any automated actions. Where a feature (such as an AI agent) can take actions on your behalf, it does so only within the scope you authorize and subject to your review; you remain responsible for those actions.
Your Content & License
“Your Content” means the information, documents, essays, resumes, transcripts, uploads, messages, and other materials you submit to the Services. You keep all rights you have in Your Content.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and adapt Your Content solely to operate, secure, provide, and improve the Services for you, and as otherwise described in our Privacy Policy. This license ends when you delete Your Content or close your account, except for reasonable backup copies and as required by law.
- Your responsibilities. You represent that you have the rights to submit Your Content and that it does not violate law or infringe others’ rights.
- Third-party and recommender content. If you upload materials involving others (for example, recommendation letters or a recommender’s details), you represent that you have the necessary permission to do so and to have them processed through the Services.
- Deletion. You can delete Your Content in the app. Deletion may not be instantaneous across systems and backups.
Acceptable Use
You agree not to, and not to help anyone else:
- Break the law, infringe intellectual property, or violate anyone’s rights or privacy;
- Upload malware or attempt to disrupt, overload, or compromise the Services or their security;
- Access the Services through unauthorized means, or scrape, crawl, or harvest data except through features we provide;
- Reverse engineer, decompile, or attempt to extract source code, models, prompts, or training data, except where the law prohibits this restriction;
- Use the Services to build a competing product or to train a machine-learning model;
- Resell, sublicense, or provide the Services to third parties without authorization, or exceed applicable rate or usage limits;
- Misrepresent AI Output as unassisted work where prohibited, or use the Services for academic dishonesty or to deceive schools or third parties;
- Impersonate others, upload someone else’s information without permission, or engage in fraud, abuse, or harassment.
We may investigate and take action, including removing content and suspending or terminating accounts, for suspected violations.
Our Intellectual Property
The Services (including our software, algorithms, models, prompts, templates, user interfaces, designs, text, graphics, and the Meddy name and logos) are owned by Meddy, Inc. or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms. No other rights are granted, and all rights not expressly granted are reserved.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
Third-Party Services
The Services rely on and may integrate third-party services, including authentication, payment processing, cloud hosting and storage, AI model providers, and optional integrations you connect. Your use of those services may be subject to their terms, and we are not responsible for third-party services or for losses arising from their acts, omissions, outages, or changes.
Beta & Experimental Features
We may offer features labeled beta, preview, experimental, or early access. These are provided “as is” for evaluation, may be changed or discontinued at any time, may be less reliable, and are excluded from any commitments or warranties. We may collect feedback and usage data to improve them.
Changes & Availability of the Service
We are continuously improving Meddy and may modify, suspend, or discontinue any part of the Services (including features, plans, and integrations) at any time. We do not guarantee that the Services will be uninterrupted, error-free, or available at any particular time, and maintenance, updates, or factors outside our control may cause downtime. Where practical, we will provide notice of significant changes.
Enterprise & Institutional Use
We offer deployments for universities, programs, and organizations. If your access is provided under a separate written agreement between Meddy, Inc. and an institution (for example, an order form, enterprise agreement, or data-processing agreement), that agreement governs your use and prevails over these Terms to the extent of any conflict for that deployment.
Where we process education records on behalf of an institution, we do so as its service provider and consistent with applicable law, as described in our Privacy Policy.
Copyright & DMCA
We respect intellectual property rights. If you believe content on the Services infringes your copyright, send a notice to our designated agent at legal@trymeddy.com including: your contact information; identification of the copyrighted work; identification of the material and its location; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and your signature. We may remove infringing material and terminate repeat infringers. A counter-notice process is available where applicable.
Suspension & Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure, or if we discontinue the Services.
On termination, your right to use the Services ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, dispute resolution, and the general terms) survive termination.
Disclaimers
The Services and all content and Output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Services or Output will be accurate, reliable, secure, uninterrupted, or error-free.
We do not warrant any results from using the Services and are not responsible for decisions you make in reliance on the Services or AI Output. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
Limitation of Liability
To the fullest extent permitted by law, Meddy, Inc. and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or other intangible losses, arising from or related to the Services or these Terms, even if advised of the possibility.
Our total liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) US $100.
Without limiting the above, we are not liable for losses arising from AI Output (including inaccuracies, hallucinations, and model errors), admissions or career outcomes, your reliance on recommendations, data loss, downtime, or the acts, omissions, or services of third parties (including payment processors, cloud providers, AI providers, and institutions). These limits apply to the maximum extent permitted by law; some jurisdictions do not allow certain limitations, so some may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Meddy, Inc. and its affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from or related to Your Content, your use of the Services, your violation of these Terms or applicable law, or your infringement of any third party’s rights.
Dispute Resolution & Arbitration
Please read this section carefully. It affects your legal rights, including your right to sue in court and to participate in a class action.
- Informal resolution first. Before starting arbitration, you agree to contact us at legal@trymeddy.com and give us 60 days to resolve the dispute informally.
- Binding arbitration. If we cannot resolve it, you and we agree to resolve any dispute relating to the Services or these Terms by final, binding, individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court.
- Class-action & jury waiver. Disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. You and we waive any right to a jury trial.
- Small claims. Either party may bring an individual claim in small-claims court if it qualifies.
- Opt out. You may opt out of arbitration and the class-action waiver by emailing legal@trymeddy.com within 30 days of first accepting these Terms; opting out does not affect the other parts of these Terms.
This section does not prevent either party from seeking injunctive or equitable relief for intellectual property or unauthorized-use claims. If any part of this section is unenforceable, the rest remains in effect (except that the class-action waiver is non-severable).
Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. To the extent any dispute is not subject to arbitration and may be brought in court, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice. Changes take effect when posted (or on a later stated date). Your continued use of the Services after changes take effect means you accept the updated Terms; if you do not agree, stop using the Services.
General Terms
Assignment & business transfers
You may not assign these Terms without our consent. We may assign them, including in connection with a merger, acquisition, financing, reorganization, or sale of assets. These Terms bind and benefit permitted successors and assigns.
Export controls & sanctions
You must comply with applicable export, re-export, and sanctions laws. You represent that you are not located in an embargoed region or on a restricted-party list and will not use the Services in violation of these laws.
Force majeure
We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, outages, network or provider failures, labor disputes, or governmental actions.
Miscellaneous
These Terms and any referenced policies are the entire agreement between you and us regarding the Services and supersede prior agreements. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. There are no third-party beneficiaries. Headings are for convenience only. We may provide notices to you in the app or by email, and you consent to receiving communications electronically.
